Code of Business Conduct

last updated October 9, 2026

This Code applies to all directors, employees, contractors and representatives of Amiri Digital Inc. (the "Company"). It has been adopted and signed by the Company's directors and shareholders, and everyone covered by it signs it when they join.

1. Compliance with law

We comply with all applicable laws, including Canada's Corruption of Foreign Public Officials Act, the Criminal Code, and applicable sanctions and export-control laws, as well as the laws of every jurisdiction in which we do business.

2. Anti-bribery and anti-corruption

We do not offer, promise, give, request or accept bribes, kickbacks, facilitation payments or any other improper payment or advantage, directly or through third parties, to obtain or retain business or any other benefit.

3. Gifts, hospitality and entertainment

No gifts, travel, hospitality or entertainment may be given to government officials or public-sector employees, except items of nominal value (under CAD $50) that are permitted by the recipient's own rules. All other gifts and hospitality must be reasonable, infrequent, properly recorded, and never offered or accepted in connection with a business decision.

4. Sanctions and export controls

We do not sell, ship or provide products, software or services to sanctioned countries, entities or persons, or for prohibited end uses. We comply with the trade-compliance requirements of the manufacturers and distributors we work with.

5. Conflicts of interest

Any personal, financial or family interest that could influence, or appear to influence, a business decision must be disclosed to a director before the decision is made.

6. Confidentiality and data protection

Customer, partner and Company information is used only for its intended purpose, shared only with those who need it, and protected in accordance with applicable privacy laws, including FOIPPA obligations when serving BC public bodies.

7. Accurate records

Quotes, invoices, bids, contracts and financial records must be complete, accurate and truthful. No false or misleading entries may be made for any reason.

8. Fair dealing and procurement integrity

We compete fairly. We do not collude with competitors, misrepresent our capabilities, or seek improper access to confidential procurement information.

9. Training and acknowledgement

Everyone covered by this Code must read and sign it when they join the Company and complete anti-bribery and anti-corruption training at least annually.

10. Reporting concerns

Concerns or suspected violations must be reported to a director. Reports made in good faith will not result in retaliation. Violations of this Code may result in disciplinary action, up to and including termination of employment or contract.

To raise a concern, email help@amiri.digital, addressed to the Directors.
